Business Broker Co Brokering Referral Tracking Template
Business broker co brokering referral tracking: a copyable log template, what to agree in writing, and the state licensing checks to run before any fee.
By Brett Kaufman. 8 years using relationships to build sales pipelines, from political fundraising to a 7 figure business to running matchmaking for two communities. Over 1,000 introductions facilitated.
Business broker co brokering referral tracking comes down to one row per referral, logged the day it arrives: who sent it, their license and state, the dated introduction, the split you agreed in writing, the tail, and the status through close. Sign the agreement before the introduction, and check that the person you pay can legally be paid.
Here is the scene. A broker two states away sent you a buyer in March. You agreed on a split by phone and someone followed up by email. The deal closes in November. Now there is a question about whether the split was on your side of the fee or the whole fee, whether the buyer had already contacted you through your website in February, and whether the other broker is licensed where the business sits. The email thread has the answer to one of those.
I am not a lawyer. This is general information, not legal advice. Licensing and fee rules depend on your state, the other party’s state, and the deal. Talk to counsel before you agree to pay or accept any fee.
Why do co brokering referral fees turn into disputes?
Because the agreement was loose, the introduction date was never proven, and the deal closed long after anyone remembered the terms. The IBBA and M&A Source Market Pulse for Q2 2026 put Main Street deals at six to 10 months on average and lower middle market deals at 11 to 12 months. That is a long time for a handshake to hold.
The trade takes disputes between firms seriously. The IBBA describes its course #100, Ethical Considerations for Business Brokers, as a way to avoid lawsuits with clients, customers and other brokerage firms, with a focus on transparency, compliance and integrity at every stage of a transaction.
Can a business broker pay a referral fee to someone without a license?
Sometimes not, and the answer depends on which states touch the deal. Among the resources on the IBBA legal updates page, Business Intermediary Education Foundation panel slides on navigating federal and state M&A broker regulations say 17 states regulate business brokerage under real estate licensing laws, that multiple states may have jurisdiction in the same deal, and that without an exemption you risk no compensation.
Florida is a clear example. Its statute lists as grounds for discipline sharing a commission with, or paying a fee to, a person not properly licensed as a broker, broker associate or sales associate in Florida for the referral of real estate business. The same paragraph allows a Florida broker to “pay a referral fee or share a real estate brokerage commission with a broker licensed or registered under the laws of a foreign state so long as the foreign broker does not violate any law of this state.”
Stock deals add a securities layer. The IBBA keeps a list of states with M&A broker registration relief, 23 states as of its April 2025 revision. For referral fees to people who are not brokers at all, the finder side is covered in finder’s fees for a business introduction.
The practical takeaway for your log: license and state are a column, checked and dated before you agree to anything.
What should a co brokering agreement cover?
Keep it to one page and sign it before the introduction. Here is what I would want on it:
- The parties. Both brokers and their firms, with license numbers and states.
- What is covered. The specific buyer by name, or the specific listing. Not “any buyers you send.”
- What counts as the introduction. The first email with the buyer’s name, the first call, the first signed NDA.
- The split. A percentage of what, exactly: the total fee or one side of it. When it is paid and from what.
- The tail. How long after the introduction a closing still counts.
- Who does the work. Who handles the buyer, diligence requests and communication.
- Prior contact. A line that excludes buyers who already contacted you before the date of introduction.
The business broker co brokering referral tracking template
This is the information gain on this page: a log you can copy into a sheet today. One row per referral, in or out.
| Column | What goes in it | Example (illustrative) |
|---|---|---|
| Referral ID | A short code | R014 |
| Date in | The day you received the name | Mar 12, 2026 |
| Direction | In (sent to you) or out (you sent) | In |
| From | Name and firm | Co broker, Ohio firm |
| License checked | State, number, date you checked | OH, checked Mar 12, 2026 |
| Party introduced | Buyer or listing name | Buyer, HVAC platform |
| Proof of intro | Where the dated record lives | Email, Mar 12, 2026, 9:14 am |
| Prior contact | Had they reached you before? | No, checked inbox and site forms |
| Agreement | Signed date and file location | Signed Mar 13, 2026 |
| Split and basis | Percent and of what | 20% of buy side fee |
| Tail ends | Date the referral expires | Mar 12, 2027 |
| Status | Introduced, NDA, LOI, diligence, closed, dead | LOI |
| Next check | When you next update the sender | Nov 1, 2026 |
| Paid | Date and amount, or open | Open |
Two columns matter most in a dispute: proof of intro and prior contact. Two matter most for the relationship: status and next check.
How often should you review the log?
Monthly, plus at three moments: when a referred party signs an LOI, when a deal closes, and 30 days before any tail ends. The monthly pass is five minutes. Sort by next check, update status, and tell every sender where their referral stands.
That last part is the one brokers skip. A co broker who sent you a buyer in March and hears nothing until a check arrives in November has no reason to think of you first next time. A two line text at each stage is what makes the referral repeat.
The referral log is also a relationship map
Every row is a person who thought of you. Sorted by sender, the log shows who sends you buyers, who sends you sellers, and who you have sent nothing back. I would treat it the way I treat introductions: an intro ledger with a value column, reviewed so nobody who helped you goes quiet.
The same is true for seller referral sources outside brokerage. CPAs and attorneys are covered in how business brokers get more seller referrals. And when a co broker’s buyer is on your bench, they are ranked like any other buyer when the next listing lands, as in which buyer to call first. The rest of the system is in the business broker relationship playbook.
Ten minutes a day
The sheet tracks the fee. FRONT OF MIND keeps the people warm. It opens on your 10 minutes for today, with each person and one line saying why today: a follow up due on a referral, a co broker going cold, their firm in the news. Intros to make this week come with dated proof on both sides, so you always know when and why two people were connected.
